1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Digitley Technologies Private Limited ("Digitley", "we", "us", "our"), a company incorporated in India with its registered office in Mumbai, Maharashtra.

By accessing or using the Digitley website (digitley.com), mobile application, APIs, or any Digitley hardware products (collectively, the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with any part of these Terms, you must not use our Services. If you are using our Services on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

Minimum Age: You must be at least 18 years of age to use Digitley Services. By using our Services, you represent that you meet this requirement.

2. Our Services

Digitley provides smart home and building automation services, including but not limited to:

• Hardware products (smart locks, touch switches, sensors, water valves, motors, and related accessories)
• The Digitley mobile application (iOS and Android)
• Cloud-based automation and device management platform
• Digitpass keyless entry system for hospitality customers

We reserve the right to modify, suspend, or discontinue any part of our Services at any time. We will provide reasonable notice for material changes where possible.

Service Availability

We aim to provide uninterrupted access to our cloud services, but do not guarantee 100% uptime. Scheduled maintenance windows will be announced in advance.

3. User Accounts

To use most Digitley features, you must create an account using a valid mobile phone number or email address. You agree to provide accurate, current, and complete information and to keep this information updated.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@digitley.com if you suspect any unauthorised use of your account.

Multi-User Access: You may invite other users to access your Digitley home or property. You are responsible for the actions of users you have authorised.

4. Hardware Products & Warranty

All Digitley hardware products are covered by a 2-year manufacturer warranty from the date of purchase, covering defects in materials and workmanship under normal use.

The warranty does not cover physical damage, water damage beyond IP rating, or damage caused by improper installation.

Installation: Certain Digitley products (notably Touch Switches) require installation by a licensed electrician. Digitley shall not be liable for damage, injury, or malfunction resulting from self-installation.

5. Acceptable Use

You agree to use Digitley Services only for lawful purposes. You must not:

• Use our Services to harm, threaten, harass, or stalk any person
• Attempt to gain unauthorised access to any Digitley system
• Reverse engineer, decompile, or attempt to extract source code
• Violate any applicable law or regulation

6. Intellectual Property

All content, design, software, trademarks, logos, and hardware designs associated with Digitley are the exclusive property of Digitley Technologies Private Limited or its licensors.

7. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy.

8. Payments & Subscriptions

All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless otherwise stated. Payment is due at the time of order.

9. Disclaimer of Warranties

Our software services and cloud platform are provided "as is" and "as available" without any warranty of any kind, express or implied.

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Digitley shall not be liable for any indirect, incidental, special, or consequential damages.

11. Termination

You may terminate your Digitley account at any time by contacting support. Digitley reserves the right to suspend or terminate your account without notice if you violate these Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.

13. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you at least 14 days before the changes take effect.
